TechCollect.ai Free Trial Terms and Conditions (“Terms”) is an agreement between TechCollect LLC (“Provider”) and the entity or individual agreeing to these terms (“Customer”). By signing up for the free trial of the Provider’s services, the Customer agrees to these Terms.
1. Free Trial Services
- The free trial grants Customer access to TechCollect.ai’s proprietary software (“Software”) and hosted services (“Services”) for a period of 45 days unless otherwise stated (“Trial Period”).
- The trial is for the purpose of evaluating the suitability of the Provider’s services for the Customer’s needs.
2. License and Use Restrictions
- License Grant: Provider grants Customer a limited, non-exclusive, non-transferable license to use the Software and Services during the Trial Period.
- Restrictions: Customer shall not:
- Reverse engineer, decompile, or disassemble the Software.
- Allow unauthorized third parties to access the Services.
- Modify or create derivative works based on the Software.
3. Data and Privacy
- Data: During the Trial Period, Customer may provide access to the Customer’s API credentials with their Community Management Software or upload data to the Software. Customer represents that it has the rights necessary to use and upload this data.
- Data Removal: All data uploaded during the Trial Period will be deleted upon completion or termination of the trial unless Customer transitions to a paid subscription. Customer should ensure any important data is downloaded or saved prior to the end of the Trial Period.
4. Confidentiality
- Both Provider and Customer agree to keep any confidential information shared during the Trial Period confidential, using it solely for the purpose of evaluating the Services.
5. Termination and Transition to Paid Service
- Automatic Termination: The free trial will automatically terminate at the end of the Trial Period unless Customer transitions to a paid subscription by entering into a Customer Service Agreement.
- Transition to Paid Service: Upon request, Provider will provide Customer with a Customer Service Agreement, and, if signed, all terms in that agreement will supersede these Terms.
- Termination Rights: Either party may terminate the trial at any time by providing written notice to the other party.
6. Warranty Disclaimer
- The Services are provided “as-is” without warranty of any kind. Provider disclaims all implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
7. Limitation of Liability
- Provider’s liability for any claims arising out of or related to the trial shall be limited to $1,000. In no event shall Provider be liable for indirect, incidental, special, or consequential damages of any kind.
8. Governing Law
- These Terms are governed by the laws of the State of Michigan, without regard to its conflict of law principles.
9. Miscellaneous
- Entire Agreement: These Terms represent the entire agreement between Provider and Customer regarding the free trial and supersede any prior agreements or understandings except any separate mutual non-disclosure agreements which may have been executed between the parties.
- Modifications: Provider reserves the right to modify these Terms at any time upon notice to Customer.
